Terms of Service

These terms govern your use of CoController AI — the Close Center web app and the CoController AI Chrome extension (together, the "Service"). By creating an account, connecting QuickBooks Online, or paying for a subscription, you agree to these terms.

1. What the Service does (and does not do)

CoController AI assists accountants with month-end close: categorizing transactions, reconciling statements, checklists, flux analysis, and workpapers. It is an assistance tool, not a substitute for professional judgment. Categorization suggestions and reconciliation matches must be reviewed and explicitly approved by you or your accountant before anything is written back to QuickBooks. You remain responsible for the accuracy of your books and for compliance with tax and accounting obligations.

2. Accounts & QuickBooks connection

• You must be authorized to connect each QuickBooks company you link.
• You grant us permission to read and, only with your explicit per-action approval, update the QuickBooks data needed for the features you use. You may revoke this at any time by disconnecting (see Support).
• You are responsible for keeping your login credentials and license keys confidential.

3. Subscriptions & billing

• Plans: Basic ($149/month or $1,788/year, 4 clients included) and Advanced ($299/month or $3,588/year, 15 clients included). Additional clients are $25/month or $300/year each. Prices are in USD.
• Trials: monthly plans include a 14-day free trial; annual plans are billed upfront with no trial.
• Renewal & cancellation: subscriptions renew automatically until cancelled. Cancel anytime from your billing portal; you keep access until the end of the paid period.
• Refunds: monthly plans are non-refundable after the trial; annual plans may be refunded within 30 days of purchase. Contact support for exceptions.
• Payments are processed by Stripe; failed payments may suspend access after notice.

4. Acceptable use

You agree not to: misuse the Service, attempt to access other users' data, reverse-engineer the Service to circumvent licensing, use the Service for unlawful purposes, or upload malicious content. We may suspend accounts that violate these terms.

5. Intellectual property

The Service, including its software, design, and content, is owned by us and licensed to you for the duration of your subscription. Your accounting data remains yours.

6. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not warrant that suggestions will be error-free or that the Service will be uninterrupted. Accounting decisions remain yours.

7. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising from the Service is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including loss of profits or data.

8. Termination

You may terminate at any time by cancelling your subscription and disconnecting QuickBooks. We may terminate for material breach with 30 days' notice. On termination, your right to use the Service ends; you may request deletion of your data per the Privacy Policy.

9. Changes

We may update these terms; material changes will be posted here with a new effective date. Continued use after changes constitutes acceptance.
